These Terms and Conditions govern your access to and use of the HnK Parts website and your purchase of products from HnK Parts. By accessing the website, creating an account, placing an order, accepting a quotation, or receiving delivery of products, you agree to be bound by these Terms and Conditions, our Privacy Policy, our Shipping & Handling Policy, our Returns & Refunds Policy, and any other policies referenced on our website.

If you do not agree with these Terms and Conditions, you should not use this website or place an order with HnK Parts.

1. Definitions

For purposes of these Terms and Conditions:

Company, Seller, HnK Parts, we, us, or our means HnK Parts and its owners, employees, agents, representatives, affiliates, successors, and assigns.

Buyer, Customer, User, you, or your means the individual, business, organization, or entity accessing the website, placing an order, accepting a quotation, purchasing products, or receiving products from HnK Parts. If you are accessing the website or placing an order on behalf of a company or other entity, you represent that you have authority to bind that company or entity to these Terms and Conditions.

Goods, Products, or Items means the parts, components, accessories, equipment, materials, or other goods offered for sale or sold by HnK Parts.

Contract means the agreement between HnK Parts and the Buyer for the sale and purchase of products, consisting of these Terms and Conditions, the applicable quotation, order confirmation, invoice, website order, and any policies incorporated by reference.

Business Day means any day other than Saturday, Sunday, or a public or national holiday.

Section headings are for convenience only and do not affect interpretation. Words in the singular include the plural, and words in the plural include the singular.

2. Eligibility and Authority

You must be at least 18 years old to place an order or create an account with HnK Parts. If you are under 18, you may use the website only with the involvement and supervision of a parent or legal guardian.

By placing an order, you represent and warrant that you are legally authorized to enter into the transaction and, if acting on behalf of a business or organization, that you have authority to bind that business or organization.

3. Website Use

You may use the HnK Parts website only for lawful purposes and only in accordance with these Terms and Conditions.

You agree not to:

• Introduce viruses, malware, ransomware, spyware, Trojan horses, worms, logic bombs, or any other harmful code.
• Copy, reproduce, modify, distribute, publish, sell, resell, sublicense, or commercially exploit any portion of the website or its content without written authorization.
• Impersonate HnK Parts, its employees, another user, or any other person or entity.
• Use the website to transmit spam, unsolicited commercial communications, unlawful content, defamatory content, obscene content, or infringing material.

Any unauthorized use of the website or its content may result in termination of access and may violate copyright, trademark, database, unfair competition, and other applicable laws.

4. Intellectual Property and Website Content

All website content, including but not limited to text, product descriptions, product data, pricing data, fitment data, specifications, images, graphics, logos, design, layout, icons, videos, articles, blogs, category structures, and other materials, is owned by HnK Parts or licensed to HnK Parts by manufacturers, suppliers, vendors, or other third parties.

No content from the website may be copied, reproduced, modified, distributed, displayed, published, scraped, harvested, downloaded in bulk, sold, resold, used for competitive analysis, used for artificial intelligence training, or commercially exploited without prior written permission from HnK Parts, except as expressly permitted by law.

All trademarks, service marks, logos, trade names, manufacturer names, part numbers, product names, and other marks appearing on the website are the property of their respective owners. Use of manufacturer names, product names, model numbers, or part numbers is for identification and compatibility purposes only and does not imply endorsement unless expressly stated.

5. Account Security

If you create an account with HnK Parts, you are responsible for maintaining the confidentiality of your account login, password, and account information. You are responsible for all activities that occur under your account.

You agree to notify HnK Parts promptly if you believe your account has been accessed without authorization. HnK Parts is not responsible for losses caused by unauthorized use of your account, except where required by applicable law.

6. Product Information, Specifications, and Manufacturer Data

Product descriptions, images, specifications, measurements, compatibility information, model references, diagrams, prices, inventory availability, and other product information shown on our website, catalogs, brochures, advertisements, emails, or other materials are provided for general informational purposes only.

Although HnK Parts makes reasonable efforts to provide accurate information, product information may be provided by manufacturers, distributors, suppliers, or third-party data sources and may contain errors, omissions, outdated information, typographical mistakes, image differences, specification changes, superseded part information, or inventory inaccuracies.

Actual products delivered may differ from website images, catalog images, or prior descriptions due to manufacturer substitutions, product improvements, supersessions, design changes, packaging changes, availability changes, or supplier updates.

The product description in the quotation, order confirmation, invoice, or sales order is the controlling description for the transaction. By placing an order, accepting a quotation, or accepting delivery, you acknowledge that you have not relied on any prior representation, statement, image, catalog description, website listing, or promotional material except as expressly included in the applicable sales documentation.

7. Buyer Responsibility for Product Selection and Suitability

The Buyer is solely responsible for verifying that the product ordered is correct, suitable, compatible, and appropriate for the Buyer’s intended use, equipment, model, application, premises, installation environment, and applicable laws or regulations.

Before placing an order, the Buyer must review all product specifications, part numbers, model numbers, dimensions, manufacturer instructions, safety requirements, compatibility information, electrical requirements, gas requirements, refrigeration requirements, plumbing requirements, and other relevant information.

HnK Parts does not warrant that any product will be suitable for a particular purpose, fit a particular application, match a particular model, fit through doorways or entry points, meet site conditions, or comply with specific installation requirements unless expressly stated in writing by HnK Parts.

Trial sales are not offered. By placing an order, the Buyer confirms that the Buyer has reviewed the product and determined that it is suitable for the intended use.

8. Order Placement and Acceptance

All orders placed through the website, by email, by quotation, or by any other method are subject to acceptance by HnK Parts. The website and any quotation constitute an invitation for the Buyer to submit an order and do not constitute a binding offer to sell.

An order is not accepted, and no contract of sale is formed, unless and until HnK Parts accepts the order, processes the order, confirms the order, or ships the product.

HnK Parts reserves the right, in its sole discretion, to accept, reject, cancel, limit, or refuse any order for any reason, including but not limited to:

• Product unavailability.
• Supplier inventory changes.
• Manufacturer discontinuance.
• Pricing errors.
• Inventory errors.
• Typographical errors.
• Product description errors.
• Image errors.
• Feed errors.
• System errors.
• Suspected fraud.
• Payment issues.
• Shipping restrictions.
• Regulatory restrictions.
• Quantity limitations.
• Prior sale.
• Any other business reason.

If payment has already been received for an order that HnK Parts does not accept or cancels before shipment, HnK Parts will issue a refund of the amount paid for the cancelled item.

9. Pricing, Taxes, and Errors

Prices shown on the website or in quotations are in U.S. dollars unless otherwise stated. Prices are exclusive of sales tax, use tax, excise tax, duties, shipping charges, handling charges, freight charges, surcharges, insurance, and any other applicable charges unless expressly stated otherwise.

Applicable taxes and charges will be calculated at checkout or included in the invoice, based on the shipping location, product type, and applicable laws. The Buyer is responsible for reviewing the total amount before placing the order.

HnK Parts may accept valid tax exemption certificates, resale certificates, or other exemption documentation where applicable. The Buyer is solely responsible for ensuring that any exemption certificate submitted is accurate, complete, valid, current, and legally applicable to the transaction.

The Buyer agrees to indemnify, defend, and hold HnK Parts harmless from any taxes, penalties, interest, audit costs, legal fees, or related expenses arising from an invalid, incomplete, expired, inaccurate, or improperly submitted tax exemption certificate or resale certificate.

HnK Parts reserves the right to correct pricing errors, inventory errors, typographical errors, product description errors, image errors, quantity errors, shipping calculation errors, tax calculation errors, supplier feed errors, and system errors at any time. HnK Parts may cancel, refuse, or correct any order affected by such errors, even after the order has been submitted or payment has been received.

Prices, availability, descriptions, and specifications are subject to change without notice.

10. Payment Terms

Payment in full is required at the time the order is placed unless HnK Parts expressly agrees otherwise in writing.

HnK Parts does not currently offer payment plans, installment payments, financing, open account terms, deferred payment terms, or credit terms through these Terms and Conditions.

By submitting an order, the Buyer represents and warrants that the Buyer is authorized to use the payment method provided and authorizes HnK Parts or its payment processor to charge the full order amount, including product cost, taxes, shipping, handling, freight, surcharges, and any other applicable charges.

If a payment method is declined, reversed, disputed, invalid, unauthorized, charged back, or otherwise not accepted, HnK Parts may suspend, cancel, or delay the order. The Buyer is responsible for promptly resolving any payment issue.

In the event of a chargeback, payment reversal, disputed payment, fraudulent payment, or unpaid balance, HnK Parts reserves the right to recover the amount owed, together with any chargeback fees, collection costs, attorney fees, court costs, and other expenses incurred, to the maximum extent permitted by law.

11. Shipping, Delivery, and Risk of Loss

Products will be shipped or delivered to the address provided by the Buyer at the time of order. The Buyer is responsible for providing accurate and complete shipping information, delivery instructions, contact information, and any required documentation.

All delivery dates, shipping dates, transit times, and arrival estimates are estimates only. HnK Parts will make reasonable efforts to meet estimated delivery times but does not guarantee any delivery date, even if a timed or expedited shipping method is requested or purchased.

HnK Parts is not liable for late delivery, non-delivery, carrier delay, supplier delay, manufacturer delay, weather delay, shipping error, missed delivery, or any cost, loss, damage, or expense caused by delivery delay or failure.

Unless otherwise stated in writing, risk of loss and damage passes to the Buyer when the product is delivered to the carrier, supplier, shipping point, freight provider, or delivery service. After shipment, the carrier is responsible for transportation, and the Buyer may be required to file loss or damage claims directly with the carrier.

If the Buyer refuses delivery, fails to accept delivery, provides incorrect or incomplete delivery information, fails to provide required documents or authorizations, or is unavailable to receive the product, HnK Parts may store the product, return the product, cancel the order, or charge the Buyer for storage, return shipping, reshipping, carrier fees, insurance, and other related costs.

Deliveries are curbside only unless expressly stated otherwise in writing. The Buyer is responsible for ensuring that the delivery location is accessible, safe, legal, and suitable for delivery. The Buyer is responsible for arranging any required unloading, lifting, inside delivery, installation, movement, equipment, labor, or site preparation.

HnK Parts may refuse or delay delivery if the delivery location is unsafe, inaccessible, illegal, unsuitable, or unreasonably difficult.

12. Inspection, Damage, Shortage, and Incorrect Item Claims

The Buyer must inspect all products immediately upon delivery or pickup.

Any claim for visible damage, concealed damage, shortage, incorrect item, missing item, or delivery discrepancy must be reported to HnK Parts in writing within 48 hours after delivery, unless a shorter period is required by the carrier or applicable shipping policy.

The Buyer must provide supporting information, which may include photographs, packaging images, carrier documentation, serial numbers, part numbers, order numbers, and any other information requested by HnK Parts.

The Buyer must retain the product, packaging, labels, and shipping materials and must allow HnK Parts, the supplier, manufacturer, or carrier to inspect the product and packaging.

If the Buyer does not provide written notice within the required period, the product will be deemed accepted, and HnK Parts may deny the claim to the maximum extent permitted by law.

13. Returns and Refunds

Once an order is placed, cancellations are not accepted unless approved by HnK Parts in writing.

Returns are allowed only in accordance with the HnK Parts Returns & Refunds Policy. Unless otherwise stated in that policy, return requests must be submitted within 30 days after the order is delivered.

Incorrectly ordered items may be returned only with prior authorization from HnK Parts. Unauthorized returns will not be accepted.

To request a return, the Buyer must submit a request through the HnK Parts Return Request Form. Return requests submitted by phone call or chat will not be accepted as formal return requests unless HnK Parts expressly confirms otherwise in writing.

If a return is approved, HnK Parts will issue a Return Merchandise Authorization number, also known as an RMA number. No return will be accepted without a valid RMA number.

Returned products must be unused, undamaged, uninstalled, complete, in original packaging, and include all manuals, accessories, documentation, labels, and components.

Returns will be accepted only if:

• Prior written approval has been provided by HnK Parts.
• A valid RMA number has been issued.
• The product is returned within the authorized return period.
• The product is unused, undamaged, uninstalled, complete, and in original packaging.
• Any applicable restocking fee, handling fee, or return charge has been paid or deducted from the refund.

The Buyer is responsible for all return shipping costs, insurance, packaging, and risk of loss during return shipment. HnK Parts is not liable for loss or damage to returned products during transit.

Refunds, if approved, will be issued according to the Returns & Refunds Policy and may exclude original shipping, handling, freight, special charges, restocking fees, payment processing charges where permitted, and other non-refundable charges.

14. Non-Returnable and Special Order Items

Special order items are not eligible for cancellation, return, or refund unless HnK Parts expressly agrees in writing.

Products designated as non-returnable, discontinued, electrical, electronic, gas-related, safety-related, custom, special order, used, installed, opened, damaged, missing packaging, missing components, or otherwise restricted may not be eligible for return.

HnK Parts reserves the right to determine whether an item is returnable.

15. Product Substitution, Supersession, and Manufacturer Changes

Manufacturers may substitute, supersede, modify, discontinue, redesign, repackage, or replace products at any time. A substituted or superseded product may not exactly match the image, description, packaging, or prior version shown on the website.

HnK Parts is not responsible for manufacturer substitutions, supersessions, design changes, part number changes, packaging changes, labeling changes, or discontinued products.

The Buyer is responsible for verifying that any substituted or superseded product is suitable for the Buyer’s application before installation or use.

16. Installation, Operation, and Service

Products sold by HnK Parts must be installed, operated, repaired, and serviced only by qualified, licensed, or certified professionals, as applicable, and strictly in accordance with the manufacturer’s instructions, safety warnings, service manuals, installation manuals, applicable codes, and applicable laws.

This requirement applies to all products, including but not limited to electrical, electronic, HVAC, refrigeration, gas, plumbing, appliance, commercial kitchen, mechanical, and safety-related parts.

HnK Parts is not responsible for injury, death, property damage, equipment damage, fire, gas leaks, electrical shock, water damage, refrigeration failure, food spoilage, business interruption, code violations, improper installation, improper diagnosis, improper service, misuse, or any other damages arising from installation, operation, repair, maintenance, or service of any product.

The Buyer assumes full responsibility for ensuring that products are installed and used safely and lawfully.

17. Manufacturer Warranty Only

Except for any warranty provided directly by the manufacturer, HnK Parts makes no warranties, express or implied, regarding any product.

HnK Parts does not provide any independent warranty regarding product quality, condition, merchantability, fitness for a particular purpose, compatibility, performance, durability, non-infringement, installation suitability, or compliance with any particular requirement.

Manufacturer warranties, if any, are provided solely by the manufacturer and are subject to the manufacturer’s terms, exclusions, limitations, and claim procedures. HnK Parts may assist with warranty information where available, but HnK Parts is not responsible for approving, denying, administering, or paying manufacturer warranty claims unless expressly required by applicable law.

18. Disclaimer of Website and Product Information Warranties

The website, website content, product information, inventory information, pricing information, images, descriptions, specifications, compatibility data, and other materials are provided on an “as is” and “as available” basis.

HnK Parts does not warrant that the website will be uninterrupted, secure, accurate, complete, error-free, virus-free, or available at all times. HnK Parts does not warrant that website errors, product data errors, inventory errors, pricing errors, image errors, or technical errors will be corrected immediately.

Any reliance on website content, product descriptions, manufacturer data, compatibility information, images, specifications, or other information is at the Buyer’s own risk.

19. Limitation of Liability

To the maximum extent permitted by law, HnK Parts’ total aggregate liability arising out of or relating to any order, product, quotation, invoice, website use, product information, delivery, delay, return, warranty issue, advice, assistance, or transaction shall not exceed the amount paid by the Buyer for the specific product giving rise to the claim.

If no product purchase is directly associated with the claim, HnK Parts’ total liability shall not exceed $50.

This limitation applies under all legal theories, including breach of contract, warranty, negligence, strict liability, misrepresentation, tort, statute, equity, or any other theory.

20. Exclusion of Certain Damages

To the maximum extent permitted by law, HnK Parts shall not be liable for any indirect, incidental, special, consequential, exemplary, enhanced, punitive, or penal damages.

HnK Parts shall not be liable for:

• Labor charges.
• Diagnostic charges.
• Service call fees.
• Contractor charges.
• Installation costs.
• Removal costs.
• Reinstallation costs.
• Testing costs.
• Back charges.
• Downtime.
• Loss of use.
• Lost profits.
• Lost revenue.
• Lost business.
• Loss of goodwill.
• Loss of reputation.
• Cost of substitute goods.
• Cost of substitute services.
• Damage to associated equipment.
• Food spoilage.
• Business interruption.
• Data loss.
• Delay damages.
• Third-party claims.
• Claims arising from improper product selection, installation, diagnosis, operation, service, repair, or maintenance.

These exclusions apply even if HnK Parts was advised of the possibility of such damages and even if such damages were foreseeable.

21. No Professional Advice

Any product information, compatibility guidance, technical information, customer service assistance, chat response, email response, or other assistance provided by HnK Parts is for general informational purposes only and does not constitute professional, engineering, installation, safety, legal, tax, or technical advice.

The Buyer remains solely responsible for consulting qualified professionals and verifying product suitability, installation requirements, safety requirements, code compliance, and manufacturer instructions before purchase, installation, or use.

22. Customer Indemnification

The Buyer agrees to indemnify, defend, and hold harmless HnK Parts and its owners, officers, directors, employees, agents, representatives, suppliers, affiliates, successors, and assigns from and against any claims, liabilities, damages, losses, judgments, awards, costs, expenses, penalties, fines, and fees, including reasonable attorney fees, arising out of or relating to:

• The Buyer’s use of the website.
• The Buyer’s purchase, resale, installation, operation, repair, service, or use of any product.
• The Buyer’s breach of these Terms and Conditions.
• The Buyer’s violation of any law, regulation, code, or third-party right.
• Incorrect product selection by the Buyer.
• Improper installation, diagnosis, service, operation, repair, or maintenance.
• Misuse or unauthorized use of any product.
• Invalid, incomplete, expired, or inaccurate tax exemption documentation.
• Any content, review, image, comment, feedback, or material submitted by the Buyer.
• Any claim brought by a third party arising from the Buyer’s actions, omissions, equipment, premises, business, employees, contractors, customers, or end users.

This indemnification obligation survives completion of the transaction, termination of account access, and termination of these Terms and Conditions.

23. User Submissions, Reviews, Feedback, and Content

If you submit reviews, comments, feedback, suggestions, ideas, photos, videos, files, technical information, product information, or other materials to HnK Parts or through the website, you grant HnK Parts a worldwide, royalty-free, perpetual, irrevocable, transferable, sublicensable license to use, copy, modify, publish, display, distribute, adapt, translate, remove, and incorporate such materials in any media or format.

You represent and warrant that you own or have the necessary rights to submit such materials and that the materials do not violate any law or third-party rights.

HnK Parts is not required to maintain submissions in confidence, compensate you for submissions, respond to submissions, or use submissions. HnK Parts may monitor, edit, reject, or remove submissions at its discretion.

24. Third-Party Links, Manufacturer Information, and External Content

The website may include links to third-party websites, manufacturer websites, supplier information, carrier websites, payment processors, manuals, diagrams, videos, or other external resources.

Such links and external materials are provided for convenience only. HnK Parts does not control and is not responsible for third-party websites, third-party content, external materials, manufacturer information, supplier information, carrier information, or any loss or damage arising from use of or reliance on such materials.

Accessing third-party websites or using third-party information is at the Buyer’s own risk and may be subject to separate terms and policies.

25. Cybersecurity, System Availability, and Data Issues

HnK Parts does not guarantee continuous, uninterrupted, secure, or error-free access to the website, account system, checkout system, payment system, inventory system, pricing system, email system, or any related technology.

HnK Parts is not liable for losses arising from system outages, website errors, payment processor issues, data errors, cyberattacks, distributed denial-of-service attacks, ransomware, viruses, malware, unauthorized access, data loss, data corruption, communications failures, network failures, or other technology-related problems, except where liability cannot be excluded by applicable law.

26. Force Majeure

HnK Parts shall not be liable for any delay, failure, interruption, or impairment of performance caused in whole or in part by events beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, severe weather, pandemics, epidemics, labor disputes, strikes, lockouts, supplier delays, manufacturer delays, transportation delays, carrier failures, shortages, war, terrorism, civil unrest, government action, changes in law, utility failures, internet failures, cyber incidents, or inability to procure products or materials.

27. Cancellation by HnK Parts

HnK Parts may cancel any order before shipment if the product is unavailable, discontinued, restricted, incorrectly priced, incorrectly described, affected by a system or supplier feed error, suspected of fraud, subject to payment issues, or otherwise cannot be fulfilled.

If HnK Parts cancels an order before shipment after payment has been received, HnK Parts will refund the amount paid for the cancelled item.

Order Cancellations by you:
An order once placed by the customer will be processed and shipped on the same day based on the availability of the parts. So, the order once processed or shipped cannot be cancelled. However, upon the request of the customer, if the order isn’t processed and shipped due to non-availability or any other technical reason by the time of receiving the request, may be cancelled. However, a transaction charges of 4% will be charged to the customer.

28. Changes to Terms and Policies

HnK Parts may update, revise, supplement, or modify these Terms and Conditions and related policies from time to time. Updates may be posted on the website and will be effective as of the posted effective date unless otherwise stated.

Your continued use of the website or placement of orders after updated terms are posted constitutes acceptance of the updated terms.

You are responsible for reviewing the website periodically for the latest Terms and Conditions and policies.

29. Privacy Policy

Use of the website and submission of personal information are subject to the HnK Parts Privacy Policy. By using the website or placing an order, you acknowledge that you have reviewed and agree to the Privacy Policy.

30. Governing Law and Venue

These Terms and Conditions, the website, and any transaction with HnK Parts shall be governed by the laws of the State of illinois, without regard to conflict-of-law principles.

Any dispute, claim, lawsuit, or proceeding arising out of or relating to these Terms and Conditions, the website, any order, any product, or any transaction with HnK Parts shall be brought exclusively in the state or federal courts located in illinois and United State, unless HnK Parts elects another venue permitted by law.

The Buyer consents to personal jurisdiction and venue in those courts.

31. Assignment

The Buyer may not assign, transfer, delegate, or sublicense any rights or obligations under these Terms and Conditions without prior written consent from HnK Parts.

HnK Parts may assign or transfer its rights and obligations in connection with a merger, acquisition, sale of assets, corporate reorganization, affiliate transfer, or other business transaction.

32. Waiver

No waiver by HnK Parts of any term, condition, right, or remedy shall be deemed a continuing waiver or a waiver of any other term, condition, right, or remedy.

Any failure by HnK Parts to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision.

33. Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent as closely as possible.

34. Entire Agreement

These Terms and Conditions, together with the applicable quotation, order confirmation, invoice, Privacy Policy, Shipping & Handling Policy, Returns & Refunds Policy, and any other policy incorporated by reference, constitute the entire agreement between HnK Parts and the Buyer regarding the website, order, product, or transaction.

These Terms and Conditions supersede all prior or contemporaneous communications, representations, understandings, statements, or agreements, whether oral or written, except to the extent expressly agreed in writing by HnK Parts.

35. Survival

Any provisions that by their nature should survive completion of the transaction or termination of website access shall survive, including but not limited to provisions regarding intellectual property, payment obligations, taxes, disclaimers, limitation of liability, exclusion of damages, indemnification, governing law, venue, and dispute-related provisions.
